1. Agreement to Terms

By accessing or using Nanivolt ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

2. Description of Service

Nanivolt provides online PDF and image compression tools, including:

• PDF compression with multiple quality levels
• Image compression for JPG, PNG, WebP, and GIF files
• PDF merging capabilities
• PDF to JPG conversion
• File history storage (for registered users)
• API access (for Pro subscribers)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to create an account.

We reserve the right to terminate or suspend your account at any time for violations of these Terms or for any other reason at our discretion.

4. User Tiers and Limitations

4.1 Anonymous Users

• 5 files per day
• 25MB maximum file size
• No file history
• Watermarked output
• Display advertisements

4.2 Free Account Users

• 10 files per day
• 25MB maximum file size
• 7-day file history
• Watermarked output
• Display advertisements

4.3 Pro Subscribers

• Unlimited files per day
• Unlimited file size
• Forever file history
• No watermarks
• No advertisements
• Batch processing (50 files)
• API access (1,000 calls per month)
• Priority support
• Custom branding options

We reserve the right to modify usage limits at any time with reasonable notice.

5. Payment and Billing

5.1 Pro Subscription

Pro subscriptions are billed monthly at $8.00 USD per month. By subscribing, you authorize us to charge your payment method on a recurring basis.

5.2 Payment Processing

Payments are processed securely through Paystack. We do not store your payment card details on our servers.

5.3 Automatic Renewal

Your subscription will automatically renew each month unless you cancel before the renewal date.

5.4 Cancellation

You may cancel your Pro subscription at any time from your dashboard. Upon cancellation:

• You will retain Pro features until the end of your billing period
• You will not be charged for subsequent months
• Your account will revert to Free tier after the paid period ends

5.5 Refunds

We offer a 30-day money-back guarantee for Pro subscriptions. If you're not satisfied within the first 30 days, contact us for a full refund. Refunds are not available after 30 days, except where required by law.

5.6 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice. Existing subscribers will be notified and may cancel before the new price takes effect.

6. Acceptable Use Policy

You agree NOT to use the Service to:

• Upload or process files you don't have rights to
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated tools to scrape or access the Service (except via official API)
• Resell or redistribute our services without permission
• Upload illegal, offensive, or harmful content
• Impersonate others or misrepresent your affiliation

Violation of this policy may result in immediate account termination.

7. File Processing and Privacy

7.1 Client-Side Processing

Our compression tools process files client-side (in your browser) whenever possible. This means:

• Files are not uploaded to our servers during compression
• Processing happens entirely on your device
• We cannot access the content of files being compressed

7.2 File History Storage

If you opt into file history (Pro users only):

• Compressed files may be stored in secure cloud storage
• Files are encrypted at rest and in transit
• You can delete files at any time from your dashboard
• We reserve the right to delete files older than stated retention periods

7.3 Your Responsibility

You are solely responsible for:

• The content of files you upload
• Ensuring you have rights to process the files
• Complying with applicable laws regarding file content
• Backing up important files before processing

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all content, features, and functionality, is owned by Nanivolt and is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain all rights to files you upload to the Service. By using the Service, you grant us a limited license to process, store, and display your files solely to provide the Service.

8.3 Trademarks

Nanivolt, our logo, and other marks are trademarks of Nanivolt. You may not use our trademarks without our prior written permission.

9. API Usage (Pro Subscribers)

Pro subscribers with API access agree to:

• Use the API only for legitimate business purposes
• Not exceed the monthly API call limit (1,000 calls/month)
• Keep API keys confidential and secure
• Not share or resell API access
• Implement proper error handling and rate limiting
• Comply with all API documentation and guidelines

We reserve the right to revoke API access for violations of these terms or excessive usage.

10. Disclaimers

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding accuracy, reliability, or quality of results

10.2 File Quality

While we strive to maintain high compression quality, we do not guarantee:

• Specific compression ratios or file size reductions
• Perfect preservation of file quality after compression
• Compatibility with all software after compression

Always keep backups of important files before compressing.

10.3 Third-Party Services

We are not responsible for the availability, accuracy, or content of third-party services (e.g., payment processors, authentication providers).

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANIVOLT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damage to files or data
• Business interruption
• Loss of goodwill or reputation

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Nanivolt, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your uploaded content or files

13. Termination

13.1 By You

You may terminate your account at any time by:

• Going to Settings → Danger Zone → Delete Account
• Contacting our support team

13.2 By Us

We may terminate or suspend your access immediately, without prior notice, for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Extended periods of inactivity
• Any other reason at our discretion

13.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• Your account data may be deleted after 30 days
• You remain liable for any charges incurred before termination
• Sections that should survive termination (e.g., liability limitations) will continue to apply

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@nanivolt.com to attempt to resolve the dispute informally for at least 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.3 Arbitration

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

14.4 Class Action Waiver

You agree to resolve disputes on an individual basis only, and waive any right to participate in class actions or class arbitrations.

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Nanivolt regarding the Service.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

15.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.

15.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
